1. Definitions

In these Terms and Conditions, the following terms have the meanings set out below:

• "Mekong Data" / "we" / "us" / "our" — Mekong Data, a company registered in Thailand, operating from 118 Charoen Krung Road, Bang Rak, Bangkok 10500.
• "Client" / "you" — any individual or organisation that engages Mekong Data for services or uses this website.
• "Services" — Source Review, Channel Integration, and Watershed Support, as described on this website and in any written engagement agreement.
• "Engagement Agreement" — a separate written document signed by both parties before any project begins, detailing scope, price, and timelines.
• "Website" — the website operated by Mekong Data at mekongda.cyou.

2. Acceptance of Terms

By using this website or by signing an Engagement Agreement with Mekong Data, you agree to these Terms and Conditions. You must be at least 18 years old and have the legal capacity to enter into a binding agreement on behalf of yourself or your organisation. If you are acting on behalf of a company, you confirm that you have authority to bind that company.

3. Service Description

Mekong Data provides AI integration consulting services to businesses. The three current service offerings are described on our Solutions page. The specific scope, deliverables, price, and timeline for each project are set out in the Engagement Agreement, which takes precedence over any general descriptions on this website. We reserve the right to adjust our service offerings at any time; changes do not affect engagements already underway.

4. Engagement and Payment

• All services are priced in Thai Baht (฿). Prices on this website are indicative; the agreed price is that set out in the Engagement Agreement.
• Payment terms are specified in the Engagement Agreement. Typically, a deposit is required before work begins and the balance is payable upon completion or in monthly instalments for Watershed Support.
• Accepted payment methods include bank transfer to our Thai bank account. Details are provided in the Engagement Agreement.
• Late payments may result in a pause to ongoing work until the account is settled.

5. Refund Policy

• Source Review: Deposits are non-refundable once a session has been scheduled. If Mekong Data cancels a scheduled session, a full refund will be issued.
• Channel Integration: If the project is cancelled by the Client after work has begun, Mekong Data will invoice for work completed to date. No refund is available for work already delivered.
• Watershed Support: Monthly fees are payable in advance. If the Client provides one month's written notice to pause or cancel, no further fees are charged after the notice period. No partial-month refunds are available.

6. Client Responsibilities

To enable Mekong Data to deliver services, you agree to:

• Provide timely access to relevant staff, systems, and information as agreed.
• Designate a named contact person for each project.
• Review and respond to deliverables within the timeframes set out in the Engagement Agreement.
• Ensure that sharing data with Mekong Data is lawful and that you have the necessary rights to do so.

7. Intellectual Property

Unless otherwise agreed in writing:

• All deliverables produced by Mekong Data during a project (reports, documentation, configured systems) become the property of the Client upon full payment.
• Mekong Data retains ownership of its own methodologies, frameworks, and pre-existing tools.
• Neither party may use the other's name, logo, or materials in external communications without prior written consent.

8. Confidentiality

Both parties agree to keep confidential any information shared during the course of an engagement that is marked as confidential or that a reasonable person would understand to be confidential. This obligation survives the end of the engagement by a period of three years.

9. Data Handling

All personal data shared during a project is handled in accordance with our Privacy Policy and the separate data handling agreement signed before each project begins. Mekong Data does not retain client data after the retention period set out in that agreement.

10. Disclaimers

Services are provided on an "as delivered" basis. Mekong Data does not warrant that any AI integration will produce specific business outcomes. Results depend on many factors outside our control, including staff adoption, data quality, and the suitability of available AI tools for the specific task. We make no representations about future availability or performance of third-party tools used in integrations.

11. Limitation of Liability

To the maximum extent permitted by Thai law, Mekong Data's total liability to a Client in connection with any project is limited to the fees paid for that specific project. We are not liable for indirect, consequential, or incidental losses, including lost profits or lost data, even if we have been advised of the possibility of such losses.

12. Indemnification

You agree to indemnify Mekong Data against any claims, losses, or expenses arising from your breach of these Terms, your misuse of our deliverables, or your failure to comply with applicable law in connection with our services.

13. Termination

Either party may terminate an ongoing engagement by giving written notice as specified in the Engagement Agreement. Upon termination: all outstanding fees for work completed are due; Mekong Data will provide final deliverables for work completed to date; access to any systems or accounts we have been given will be returned to the Client within 14 days.

14. Governing Law and Disputes

These Terms are governed by the laws of the Kingdom of Thailand. Any dispute arising from these Terms or from a service engagement will first be referred to informal resolution between the parties. If not resolved within 30 days, the dispute shall be submitted to the jurisdiction of the courts of Bangkok, Thailand.

15. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised date. Continued use of our website after that date constitutes acceptance. Changes do not affect Engagement Agreements already signed unless both parties agree in writing.
